Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AIQ Labs Limited, operating AGC Studio as a division of our company ("Company," "we," "us," or "our"), concerning your access to and use of the AGC Studio platform and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

Account Registration

Acceptable Use Policy

• Generate or distribute harmful, offensive, or misleading content

• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Reverse engineer or attempt to extract source code
• Use automated systems to access the Services beyond intended use
• Resell or redistribute the Services without authorization

Content and Intellectual Property

Your Content

You retain ownership of all content you provide to the Services, including brand information, images, and other materials ("Your Content"). By using our Services, you grant us a non-exclusive, worldwide license to use, process, and display Your Content solely for the purpose of providing the Services to you.

Generated Content

Content generated by our AI systems based on Your Content ("Generated Content") is owned by you upon generation. You are responsible for reviewing and approving all Generated Content before publication.

Our Intellectual Property

The Services, including all software, algorithms, designs, and documentation, are owned by AIQ Labs Limited and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

AI-Generated Content Disclaimer

You acknowledge and agree that:

• AI-generated content may require review and editing before use
• We do not guarantee the accuracy, completeness, or suitability of generated content
• You are responsible for ensuring generated content complies with applicable laws and platform policies
• Generated content should not be used for illegal, harmful, or deceptive purposes
• You should verify any factual claims in generated content before publication

Third-Party Services

Our Services may integrate with third-party platforms and services (such as social media platforms). Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the content, privacy practices, or actions of third-party services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIQ LABS LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Indemnification

You agree to indemnify, defend, and hold harmless AIQ Labs Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. You may request export of your data within 30 days of termination by contacting us.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Nova Scotia, Canada.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
